Terms of Use

1. Agreement to These Terms

These Terms of Use ("Terms") form a legally binding agreement between you and Kaos Enterprise Inc. ("Kaos Enterprise," "SideLife," "we," "us," or "our") governing your access to and use of SideLife, including our websites, applications, communities, communications features, and related services (collectively, the "Services").

By creating an account, accessing, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use SideLife.

2. Eligibility

You must be at least 13 years old to use SideLife. If you are under the age of majority where you live, you may use the Services only with the involvement and permission of a parent or legal guardian to the extent required by applicable law.

You may not use SideLife if you are legally prohibited from receiving or using the Services.

3. Accounts and Account Security

You are responsible for providing accurate account information, maintaining the confidentiality of your credentials, and all activity occurring through your account. You may not sell, transfer, rent, or provide unauthorized access to your account.

Notify us promptly if you suspect unauthorized access or misuse of your account. We may require identity or account verification when reasonably necessary to protect users or the Services.

4. User Content

SideLife may allow you to create, upload, transmit, publish, or otherwise make available posts, photographs, videos, comments, messages, profile information, community content, and other materials ("User Content").

You retain ownership of rights you hold in your User Content. However, you grant SideLife a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, process, adapt for technical formatting, transmit, display, distribute, and otherwise use your User Content as reasonably necessary to operate, provide, secure, improve, and promote the Services and to make your content available according to the settings and features you choose.

This license ends when your User Content is deleted from our systems except to the extent continued retention or use is reasonably necessary for backups, legal compliance, safety, enforcement, content independently shared by others, or other purposes permitted by law.

5. Your Responsibilities for Content

You are solely responsible for your User Content and represent that you have the rights and permissions necessary to provide it and grant the license described in these Terms.

You may not upload or distribute content that infringes another person's copyright, trademark, privacy, publicity, or other legal rights.

6. Prohibited Conduct

You may not use SideLife to:

• violate applicable law or encourage unlawful conduct;
• threaten, harass, stalk, exploit, or unlawfully discriminate against others;
• impersonate another person or misrepresent your identity or affiliation;
• publish another person's private information without authorization;
• engage in fraud, deception, phishing, scams, or other abusive activity;
• distribute malware or malicious code;
• circumvent authentication, access controls, moderation, bans, or security measures;
• probe, scan, attack, disrupt, overload, or interfere with the Services;
• use automated systems, bots, scraping, or data-mining tools except as expressly authorized by us;
• spam users or send unauthorized bulk communications;
• collect user information for unauthorized purposes;
• infringe intellectual-property or other legal rights; or
• assist another person in violating these Terms.

7. Communities and Moderation

SideLife may establish community rules and may provide community owners or moderators with tools to manage participation and content.

We reserve the right, but do not assume an obligation to pre-screen all content, to investigate reports, restrict visibility, remove content, limit features, suspend accounts, ban users, preserve evidence, or take other reasonable action to protect SideLife, users, or third parties or to enforce these Terms.

Moderation decisions may involve judgment and may not always be error-free or consistent. Nothing in these Terms requires SideLife to host, distribute, or preserve particular User Content.

8. Interactions With Other Users

SideLife provides tools that allow people to communicate and connect. We do not guarantee the identity, background, intentions, statements, conduct, qualifications, or reliability of any user.

You are responsible for exercising appropriate judgment when communicating with users, sharing information, attending events, meeting people in person, purchasing or exchanging items, or participating in activities arranged through or discussed on SideLife.

To the fullest extent permitted by law, you assume the risks associated with interactions with other users, including interactions occurring outside the Services.

9. Intellectual Property

Except for User Content and third-party materials, SideLife and its software, branding, designs, graphics, logos, interfaces, text, compilation, features, and other materials are owned by or licensed to Kaos Enterprise Inc. and are protected by applicable intellectual-property laws.

These Terms do not grant you ownership of SideLife or permission to use SideLife trademarks, logos, branding, or proprietary materials except as expressly authorized.

10. Intellectual Property Complaints

If you believe content on SideLife infringes your intellectual property rights, contact vinh@kaoscorp.net with sufficient information for us to identify the material and evaluate your request.

11. Third-Party Services and Links

SideLife may contain links to or integrations with third-party websites, products, or services. We do not control and are not responsible for third-party content, availability, security, products, services, terms, or privacy practices.

12. Changes to the Services

SideLife is evolving. We may add, modify, suspend, restrict, or discontinue features or portions of the Services at any time, subject to applicable law. We do not guarantee that any particular feature or content will remain available.

13. Suspension and Termination

We may restrict, suspend, or terminate access to the Services when we reasonably determine that an account or activity violates these Terms, creates legal or security risk, harms users or the Services, or when otherwise permitted by law.

You may stop using SideLife at any time and may request account deletion through the functionality provided by SideLife or by contacting us.

14. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that information or content available through SideLife will be accurate, complete, reliable, or suitable for any particular purpose.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KAOS ENTERPRISE INC., SIDELIFE, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO THE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID DIRECTLY TO SIDELIFE FOR USE OF THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the foregoing limitations may not apply to you.

16. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Kaos Enterprise Inc., SideLife, and their officers, directors, employees, contractors, affiliates, and agents from claims, liabilities, damages, losses, and reasonable costs and expenses, including attorneys' fees, arising from or related to your User Content, your misuse of the Services, your violation of these Terms, or your violation of another person's rights.

17. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles, except where applicable law requires otherwise.

Subject to any rights you may have under applicable law, disputes that are not otherwise resolved shall be brought in a court of competent jurisdiction located in California.

18. Severability and No Waiver

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.

Our failure to enforce a provision of these Terms is not a waiver of our right to do so later.

19. Changes to These Terms

We may update these Terms from time to time. When changes are material, we will provide notice as required by applicable law. Continued use of the Services after updated Terms become effective constitutes acceptance to the extent permitted by law.

20. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms expressly applicable to a particular SideLife feature, constitute the agreement between you and Kaos Enterprise Inc. concerning your use of the Services.
